Terms & Conditions

1. Scope of Engagement

These Terms & Conditions govern all software engineering, mobile application development, enterprise AI consulting, cloud infrastructure, and technical design services provided by MAXKOD ("MAXKOD Technologies"). Specific project deliverables, development sprints, timelines, and payment milestones are formally defined in bilateral Statements of Work (SOW).

2. Intellectual Property & Source Code Ownership

Unless otherwise agreed in a customized Master Services Agreement (MSA):

• Full Client IP Transfer: Upon final milestone payment settlement, all custom application source code, database architectures, schema definitions, and design assets created specifically for the client transfer completely to the client.
• Pre-Existing Frameworks: Open-source libraries, core frameworks (Next.js, Flutter, React), and generic utility modules remain subject to their respective open-source licenses (MIT, Apache 2.0).
• Proprietary SaaS: Proprietary software assets such as TrackTheWork remain the exclusive intellectual property of MAXKOD, licensed to clients under SaaS subscription terms.

3. Engineering Standards & Warranties

MAXKOD adheres to enterprise-grade code hygiene, automated CI/CD validation, and standard security practices (OWASP Top 10, WCAG 2.1 accessibility). We provide a post-launch warranty period on all custom software deliverables to remediate functional defects identified within agreed scope specifications.

4. Governing Law & Jurisdiction

These terms are governed by the laws of India. Any legal dispute or arbitration arising from contractual agreements shall be subject to the exclusive jurisdiction of the competent courts in Kozhikode (Calicut), Kerala, India.
